Applicant verifies and represents that the above information is true and correct and acknowledges that any false information stated on this Customer Application or on any other document relied upon by 1Top Tworld Corporation in its decision to extend credit to Applicant may result in denial of credit and/or further action including, but not limited to, revocation of credit. Applicant grants permission for the Bank Reference and Credit References listed above to release any and all information which may periodically be requested by 1Top Tworld Corporation. Applicant consents to 1Top Tworld Corporation using the above information for credit check and collection purposes. 1Top Tworld Corporation will not use the information for any other purposes. Applicant agrees to submit a new application if any of the above information changes. Applicant agrees to provide 1Top Tworld Corporation with current financial statements, if requested. If credit is granted, Applicant promises to pay all bills when rendered, based on agreed upon terms specified on the invoices. A service charge of 1.5% per month may be charged on all past due balances. In the event payment is not made and this account is referred for collection, Applicant agrees to pay any and all costs and expenses, including service charges, interest and/or reasonable attorneys’ fees that may be incurred by 1Top Tworld Corporation, regardless of whether judicial action is undertaken. Applicant understands that all credit functions of 1Top Tworld Corporation are processed through the headquarters in Santa Fe Springs, Los Angeles County, California. Consequently, Applicant specifically agrees that any suit or proceeding relating to this Agreement shall be governed by the law of the State of California. Any suit or proceeding regarding this Agreement may be brought in Los Angeles, California, and Applicant consents to personal and subject matter jurisdiction in said venue. Applicant grants permission to 1Top Tworld Corporation and/or its agents to verify and/or supplement the information stated herein. This agreement shall be for the benefit of 1Top Tworld Corporation , its successors and assigns. As an inducement for 1Top Tworld Corporation to extend credit to Applicant, Guarantor does hereby guaranty to 1Top Tworld Corporation prompt and full payment of all monies due 1Top Tworld Corporation from Applicant. Until termination in writing, this Guaranty is continuing and unlimited as to amount or duration and shall remain in full force and effect notwithstanding any extension, compromise, adjustment, forbearance, waiver, release or discharge of any party obligor or guarantor, or release in whole or in part of any security granted for said indebtedness or compromise or adjustment thereto, and Guarantor waives all notices thereto. The obligations of the undersigned shall be at the election of 1Top Tworld Corporation, shall be primary and not necessarily secondary, and 1Top Tworld Corporation shall not be required to exhaust its remedies as against Applicant prior to enforcing its rights under this Guaranty. In the event payments due under this Guaranty are not paid upon demand, then Guarantor shall pay all reasonable costs and attorney's fees necessary to enforce this Guaranty. This Guaranty shall be for the benefit of 1Top Tworld Corporation, its successors and assigns. Guarantor hereby consents to 1Top Tworld Corporation using its personal information for credit check to extend terms to applicant and collection purposes; and Guarantor specifically agrees that any suit or proceeding relating to this Guaranty shall be governed by the law of the State of California.
